​On the one hand, the Non-Entrepreneurial (Non-commercial) Legal Entity “Georgian-Armenian Business Association – GABA” (ID: 405825914), hereinafter referred to as “GABA”, represented by its Director Lali Svimonia (Personal No. 62005000949), and on the other hand, ---- (ID ----), represented by its Director ---- (Personal No. ----), hereinafter referred to as the “Member”, hereby enter into this Agreement as follows:

Article 1. Subject of the Agreement

​

1.1. The subject of this Agreement is to regulate cooperation, membership, and partnership relations between GABA and
the Member.

 

​1.2. Under this Agreement, the Association undertakes to accept the Member as a member of the Association and to
ensure their participation in the activities of the Association in accordance with its Statute.

​

1.3. The Member undertakes to comply with the Statute of the Association, internal regulations, and fulfil all obligations
defined for members.

​

Article 2. Rights and Obligations of the Parties

​

2.1. The Member has the right to:

2.1.1. Participate in the General Meetings and events of the Association
2.1.2. Elect and be elected to governing bodies of the Association
2.1.3. Receive information about the Association’s activities, financial reports, and projects
2.1.4. Use services and programs offered by the Association
2.1.5. Participate in GABA programs and projects
2.1.6. Participate in business forums, meetings, networking events, and projects organized by GABA
2.1.7. Receive business consultation and information about Georgian–Armenian markets, partners, and opportunities
2.1.8. Participate in international business missions and partnership programs
2.1.9. Use GABA communication platforms to promote their business
2.1.10. Receive industry news and analytical information
2.1.11. Withdraw from GABA membership at any time
2.1.12. Request GABA to comply with the terms of this Agreement
2.1.13. Choose a membership package (Silver, Gold, Platinum) and change it upon agreement with GABA
2.1.14. Request compliance with this Agreement and Georgian legislation

 

2.2. The Member is obliged to:

 

2.2.1. Comply with the Statute and internal regulations of the Association
2.2.2. Pay membership fees in the defined amount and within the deadlines
2.2.3. Respect and protect GABA’s reputation, dignity, authority, and property

2.2.4. Support the promotion of GABA’s mission and activities among target groups and the public
2.2.5. Not undertake any action that may harm the Association’s reputation or activities
2.2.6. Participate in the Association’s activities when necessary
2.2.7. Agree to be included in GABA’s member list in public sources (website, social media, etc.)
2.2.8. Pay membership fees in a timely manner according to this Agreement
2.2.9. Not disclose confidential, personal, or commercial information even after termination of membership
2.2.10. Always act in accordance with the highest standards of good faith and not engage in or support fraud, corruption,
or illegal activities
2.2.11. Refrain from any activity that may create a conflict of interest

 

2.3. GABA has the right to:

2.3.1. Terminate this Agreement unilaterally and exclude the Member from the Association in case of breach
2.3.2. Include the Member in public member lists (website, social media, etc.)
2.3.3. Amend essential terms of the Agreement by written agreement with the Member

 

2.4. GABA is obliged to:

2.4.1. Include the Member in various projects, programs, and local and international events upon request
2.4.2. If necessary and by agreement, represent and protect the Member’s interests before governmental bodies, donors,
NGOs, associations, business organizations, and others
2.4.3. Ensure information sharing and engagement of the Member
2.4.4. Ensure protection of the Member’s data
2.4.5. Create a platform for business cooperation and networking
2.4.6. Remove Member information from public sources and registers within 1 (one) month after termination of
membership
2.4.7. Support Member onboarding, participation, and adaptation in activities and provide assistance when needed

 

Article 3. Membership Fee Payment Rules

 

3.1. The annual membership fee amounts to --- (XXX) GEL.
3.2. According to Georgian law, the membership fee is exempt from VAT without the right of deduction.
3.3. Membership fees are paid once per year through the website.
3.4. The Member shall pay the fee via bank transfer to GABA’s bank account specified in Article 10.

 

Article 4. Term of the Agreement

 

4.1. This Agreement enters into force upon signing and is valid for 1 (one) year.
4.2. Termination is possible by mutual agreement or as defined by this Agreement and Georgian law.
4.3. If neither party notifies termination at least two weeks before expiry, the Agreement is automatically extended for the
same period and conditions.

Article 5. Termination of Membership

 

5.1. The Member may withdraw from membership at any time.
5.2. The Member must submit a written notice via email to the Director.
5.3. The Association may remove the Member by decision of the Board.
5.4. The Member may be removed in case of:

a) serious or repeated violation of rules
b) non-payment of membership fee for 6 months
c) damage to the Association’s reputation or interests

5.5. The Board decides on exclusion in accordance with internal rules
5.6. The decision is delivered in writing within 5 working days
5.7. The Member may appeal the decision in accordance with internal rules or court procedures
5.8. Exclusion does not release the Member from financial obligations
5.9. Termination grounds include:

       - non-payment

       - 1-month notice by a party
       - breach of agreement
.      - other cases defined by law

Article 6. Consent to Personal Data Processing

​

6.1. By signing this Agreement, the Member agrees to receive communications from GABA via email and phone.
6.2. The Member may request at any time to stop processing personal data.

 

Article 7. Liability

 

7.1. Breach of obligations leads to liability under this Agreement and Georgian law.
7.2. Both parties are responsible for proper fulfillment of obligations.
7.3. The Member shall fully compensate any damage caused by their fault.

 

Article 8. Dispute Resolution

​

8.1. Disputes shall be resolved through mutual negotiations.
8.2. If no agreement is reached, disputes shall be resolved by the courts of Georgia.

​

Article 9. Final Provisions

 

9.1. The parties confirm that they fully understand and accept the Agreement.
9.2. The Member confirms that they are familiar with the Statute and all regulatory documents.
9.3. Matters not covered by this Agreement are regulated by Georgian law.
9.4. Any amendments are valid only in written form.
9.5. Invalidity of any provision does not affect the validity of the remaining provisions.
9.6. This Agreement is concluded on the basis of free will and equality of parties.
9.7. Membership packages are attached as Annex 1.

9.8. The Agreement is made in two identical copies with equal legal force.
